1. Application and Scope
1.1 Who These Terms Apply To
These B2B Terms & Conditions apply to all commercial relationships between Luxe Taste & Style Publishing and:
Distributors:
- Retail outlets selling our magazines
- Wholesalers and distribution partners
- Newsstand operators
Advertisers:
- Companies purchasing advertising space in our magazines
- Media agencies acting on behalf of advertisers
- Corporate partners
1.2 Relationship with General Terms
These B2B Terms supplement our General Terms & Conditions. In case of conflict, these B2B Terms prevail for commercial relationships.
1.3 Acceptance
By signing an order form, placing an advertisement order, or accepting a delivery, you accept both the General Terms and these B2B Terms in full.
2. Services for Distributors
2.1 Products Available
Print magazines:
- KACHEN (quarterly: Spring, Summer, Fall, Winter)
- REESEN (quarterly: Spring, Summer, Fall, Winter)
2.2 Distribution Models
Standard Model (30% discount with returns)
- Discount: 30% off cover price
- Return period: 12 weeks from delivery
- Return condition: Unsold copies in resaleable condition
- Settlement: Invoice adjusted for returns
No-Return Model (38% discount)
- Discount: 38% off cover price
- No returns accepted
- Flexibility: You may sell remaining copies at reduced price or gift them
- Risk: All unsold inventory remains with you
2.3 Ordering
Minimum order: 250 copies (multiples of 10 only)
Order deadlines:
- November 1 → Spring edition
- February 15 → Summer edition
- May 15 → Fall edition
- August 15 → Winter edition
Order process:
- Email order to [email protected]
- Confirm quantity and distribution model
- Receive order confirmation
- Payment due 30 days from invoice date
2.4 Delivery
- Shipping: Free delivery to your Luxembourg address (EU address shipping to be quoted)
- Timeline: Magazines shipped 1–2 days before newsstand date
- Risk transfer: Upon delivery to your address
2.5 Returns (Standard Model Only)
Return window: 12 weeks from delivery date
Condition requirements:
- Magazines must be in resaleable condition
- Cover intact, no writing or damage
- Maximum 50% of order quantity returnable
Return process:
- Email return authorization request
- Ship magazines to address provided
- Credit issued within 14 days of receipt
3. Services for Advertisers
3.1 Advertising Products
Print advertising:
- Full page, half page, quarter page
- Advertorials (sponsored content)
- Inserts and supplements
- Back cover, inside covers (premium positions)
Digital advertising:
- Website banner ads
- Newsletter sponsorships
- Social media partnerships
Pricing: Per current Media Kit (available on request)
3.2 Order Process
Contract formation:
- Client submits order form with specifications
- We provide quote and space availability
- Client signs order form
- Binding contract is formed upon our written acceptance
Publication deadline: typically 4 weeks before issue date (see editorial calendar in the Media Kit)
3.3 Materials and Specifications
Print materials due: see editorial calendar in the Media Kit
Accepted formats:
- PDF (high resolution, 300dpi minimum)
- Print-ready files per our specifications
We can design advertisements for an additional fee.
Approval process:
- We provide proof within 5 business days
- Client has 3 business days to approve or request changes
- If no response, approval is assumed
3.4 Payment Terms
- Invoicing: Upon publication (or agreement date for contracts)
- Payment due: 30 days net from invoice date
Discounts:
- 10% discount for 4+ insertions in same calendar year
- 15% discount for annual contracts (8+ insertions)
- Special rates for non-profit organizations (on request)
3.5 Cancellation and Withdrawal
- Cancellation deadline: Same as publication deadline (4 weeks before issue)
- Late cancellation: After deadline, we may charge 50% of agreed price as compensation for reserved space and production costs
- Modification: Changes to approved advertisements after deadline may incur additional production fees
4. Content and Liability
4.1 Advertiser Responsibilities
You warrant that:
- Advertisement content does not violate any laws or regulations
- You own all rights to content (text, images, trademarks)
- Content does not infringe third-party intellectual property
- Claims made are truthful and substantiated
- Content complies with advertising standards
You indemnify us against:
- Third-party claims arising from your advertisement content
- Legal costs and damages resulting from content violations
- Regulatory fines or penalties
4.2 Our Right to Refuse
We reserve the right to refuse any advertisement that:
- Violates Luxembourg or EU law
- Contains false or misleading claims
- Infringes intellectual property rights
- Is inappropriate for our editorial standards
- Competes directly with our own products
Notice: We will inform you immediately if we refuse an advertisement.
4.3 Publication Quality
We guarantee:
- Professional printing quality appropriate for the publication
- Advertisement placement as agreed (if position specified)
- Timely publication in agreed issue
We are NOT responsible for:
- Minor color variations inherent to printing process
- Errors in materials provided by you
- Delays due to late material delivery
- Errors in telephone orders (always confirm in writing)
Complaints: Must be submitted within 4 weeks of publication. Remedy is replacement advertisement in next issue or appropriate price reduction.
5. Payment and Credit Terms
5.1 Payment Methods
- Bank transfer (SEPA)
- International wire transfer
- Invoice by email (PDF)
5.2 Late Payment
Consequences:
- Interest at Luxembourg commercial rate (currently 10% per annum)
- Suspension of further services until payment received
- Right to require advance payment for future orders
- Collection costs charged to you
5.3 Credit Terms
- New clients: Payment in advance required for first 3 orders
- Established clients: 30-day payment terms after satisfactory payment history
- Credit review: We may request financial information if solvency concerns arise
6. Intellectual Property
6.1 Ownership
Materials we create:
- Advertisement designs we produce remain our property
- You receive license to use for approved publication only
- Additional use requires separate agreement
Materials you provide:
- You retain ownership
- You grant us license to publish and distribute
- License includes digital archiving and promotion
6.2 Retention
We retain your materials for 2 months after publication, unless otherwise requested. After this period, we may dispose of materials.
7. Termination
7.1 Term
Contracts continue until services are fully performed, either party terminates with proper notice, or breach results in termination.
7.2 Notice Periods
- Distributors: 30 days written notice to terminate standing orders
- Advertisers: Single insertion orders: cannot be terminated after deadline; Annual contracts: 60 days notice before renewal date
7.3 Effect of Termination
- All outstanding invoices become immediately due
- We complete services already in progress
- Unused prepayments refunded within 30 days
8. Confidentiality
Both parties agree to keep confidential: pricing terms not publicly available, business strategies and plans, customer lists and contact information, trade secrets and proprietary information.
Duration: Obligation continues for 2 years after contract end.
9. Amendment and Updates
We may update these B2B Terms annually. Changes are communicated via email and take effect for new contracts 30 days after notice.
Existing contracts: Governed by terms in effect at time of contract formation.
