1. Scope and Application

1.1 About These Terms

These General Terms & Conditions establish the foundation for all business relationships with Luxe Taste & Style Publishing (“we”, “us”, “our”, “LT&SP”).

These General Terms apply to:

• All publications in our magazines (KACHEN, REESEN)
• All content on our websites (luxetastestyle.online, kachen.online, reesen.online)
• All commercial relationships with clients and customers

Specific terms also apply:

• Business clients (advertisers, distributors) → B2B Terms & Conditions
• Individual customers (subscriptions, shop) → B2C Terms & Conditions
• Website visitors → Website Terms of Use

1.2 Who We Are

We are a Luxembourg publishing house operating under EU law. All our services comply with Luxembourg and EU regulations, including GDPR.

Our publications and platforms:

• KACHEN – Quarterly culinary magazine
• REESEN – Quarterly travel magazine
• Digital platforms – luxetastestyle.online, kachen.online, reesen.online
• Blog Award Luxembourg – blogaward.lu

1.3 Language and Validity

These Terms are provided in English. Where translations exist (French, German), the English version prevails in case of discrepancy.

2. Definitions

Client: Any person or legal entity engaging our services professionally, including advertisers and distributors.

Customer: Any individual purchasing our products or services for personal use.

Publication: Any material or digital content commissioned for publication in our magazines or platforms.

Contract: The binding agreement formed by these General Terms, applicable specific terms (B2B or B2C), and the signed order form or purchase confirmation.

3. Contract Formation

3.1 How Contracts Are Formed

• B2B clients: Upon signing the order form or written acceptance
• B2C customers: Upon our order acceptance email or when we begin fulfillment
• Website use: Upon first access to our websites

3.2 Order of Precedence

1. Written individual agreements
2. Specific terms (B2B or B2C)
3. These General Terms & Conditions
4. Our standard price lists

3.3 Modifications

Changes to these Terms must be made in writing. We may update terms periodically; changes only apply to contracts concluded after the update date.

4. Payment Terms

4.1 Prices and Invoicing

All prices are in EUR (€) and include Luxembourg VAT at the applicable rate:

• Printed magazines: 3% (reduced rate for publications)
• Advertising services: 17% (standard rate)
• Digital subscriptions: 3% (e-publications)

Invoices are issued by LT&SP and include: detailed breakdown of services/products, applicable VAT rate and amount, payment terms and due date, and bank transfer details.

4.2 Payment Deadlines

• B2B clients: Payment due within terms specified on order form (typically 30 days net)
• B2C customers: Immediate payment upon order
• Subscriptions: Annual advance payment

4.3 Late Payment

• Interest charges apply (legal commercial rate in Luxembourg)
• We may suspend further services until payment is received
• We may require advance payment for future orders
• We reserve the right to engage collection services

5. Intellectual Property

5.1 Our Content

All content we create and publish is protected by copyright and remains our property:

• Magazine articles, photographs, designs
• Website content and layout
• Brand names: KACHEN, REESEN, Luxe Taste & Style
• Logos and trademarks

5.2 Your Content

• You retain ownership of your intellectual property
• You grant us a license to publish and distribute the content
• You warrant that you have all necessary rights
• You indemnify us against third-party copyright claims

5.3 Permitted Use

• B2C customers: Personal, non-commercial use only
• B2B clients: Use as specified in your contract
• No reproduction, distribution, or commercial use without written permission

6. Liability and Warranties

6.1 Client/Customer Responsibilities

• Accuracy of all information provided (addresses, payment details, content)
• Rights clearance for content submitted for publication
• Timely delivery of materials and payments
• Compliance with applicable laws

6.2 Our Warranties

• Professional execution of services to industry standards
• Printed magazines free from material defects
• Accessible and functional digital content
• Services performed with due care and expertise

6.3 Limitation of Liability

We are liable for: damage caused by intentional misconduct or gross negligence; personal injury caused by our negligence; and breaches of mandatory consumer protection laws.

We are NOT liable for: indirect or consequential damages; loss of profits or business opportunities; force majeure events; third-party service failures (postal delays, payment processor issues). Maximum liability: limited to the contract value (amount paid for the specific service/product).

6.4 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, war, pandemics, strikes, or government restrictions.

7. Data Protection

As an EU-based company, we process all personal data in full compliance with GDPR, regardless of where our clients/customers are located.

Key principles: We collect only necessary data; we process data lawfully and transparently; we protect data with appropriate security measures; and we respect your privacy rights.

8. Dispute Resolution

8.1 Governing Law

These Terms are governed by Luxembourg law. EU regulations (GDPR, Consumer Rights Directive) apply where relevant.

8.2 Jurisdiction

Disputes are subject to the exclusive jurisdiction of Luxembourg courts. EU consumers may also use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

8.3 Amicable Resolution

Before initiating legal proceedings, we encourage direct communication to resolve issues quickly and fairly.

9. General Provisions

9.1 Entire Agreement

These Terms, together with applicable specific terms (B2B/B2C) and our Privacy Policy, constitute the entire agreement.

9.2 Severability

If any provision is found invalid, the remaining provisions remain in full force.

9.3 Assignment

We may assign our rights and obligations without your consent. You may not assign without our written permission.

9.4 Amendments

We may update these Terms to reflect legal changes or business developments. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.
